Terms of Service

Critical Path Consulting & Training ("Critical Path", "company", "we", "us", "our") is the company that has created and manages the PMWaves online project management application ("PMWaves", "Service", "application", "platform", "software"). Critical Path provides training, consulting, and software for project management.
These Terms of Service ("Terms") govern access to and use of the PMWaves application available at www.pmwaves.com.

IMPORTANT: By accessing or using PMWaves, you agree to be bound by these Terms. If you do not agree to these Terms, you are not permitted to access or use the Service.

1. Acceptance of Terms

1.1 Agreement to Terms

By creating an account, accessing, or using the PMWaves Service, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service, our Privacy Policy, and any additional terms and policies referenced herein.

1.2 Eligibility

Note for users aged 16-17: You may freely use the free plan. To upgrade to a paid plan, your parent/guardian must create the account and enter into the contract on your behalf.

We reserve the right to modify these Terms at any time. We will notify you of material changes at least 30 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the modified Terms.

2. Service Description

PMWaves is a comprehensive, web-based project management platform designed for professional use by individuals, teams, and organizations of all types.

Important Note: PMWaves is under continuous development and evolution. While it operates fully and reliably in a production environment, new features are regularly added and existing features are continuously improved. The company reserves the right to add, modify, or remove features without obligation of prior notice, always with the goal of improving user experience, security, and the overall value of the Service.

The platform provides tools for creating, updating, monitoring, and analyzing, indicatively, the following entities:

The above list is indicative and not exhaustive. Additional features and capabilities may already be available or may be added in the future, while the above features and capabilities may be modified or removed in the future.

2.1 Purpose of the Service

The purpose of PMWaves is to support a complete project lifecycle (initiation, planning, execution, monitoring & controlling, closing), providing a central, unified reference point for project information and the teams collaborating on those projects.

The Service allows the creation of multiple organizations, workspaces, and projects, with different levels of access rights and user roles (indicatively: owner, administrator, member, manager, editor, viewer), according to the settings and usage plans selected.

2.2 Feature Availability

All features are provided "as is". While every reasonable effort is made for the stability, security, and reliability of the Service, certain existing, new, or under-development features may be in beta stage or may be modified during their use. Users are encouraged to report any issues or observations through the support system.

2.3 Account Structure (Organization → Workspace → Portfolio → Program → Project)

The Service is organized hierarchically as follows:

2.4 User Roles and Access

Each organization and workspace may have multiple users with different roles (e.g., manager, editor, viewer...). Access rights to Service entities are determined by these roles and the subscription plan.

3. Account Registration

3.1 Account Creation

To use PMWaves, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the validity of your information and updating it when it changes.

3.2 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials (username, password, tokens, etc.) and for all activities that occur under your account. You must notify us immediately of any unauthorized use or suspected security breach.

3.3 Account Types

Accounts offered by the PMWaves Service may include one seat (free plan) or multiple seats (basic, advanced, enterprise plans). Available features and usage limits depend on the subscription plan.

3.4 Seats, Roles, and Viewers

Each user must belong to an organization (in the simplest case, they are identified with the organization). Each organization has one or more workspaces, and each project must belong to a workspace. The organization owner is responsible for managing seats, user invitations, role assignments, and all activities performed by users who have been granted access within their workspaces and projects.

4. Subscription Plans and Billing

4.1 Available Plans and Usage Limits

PMWaves offers the following subscription plans with specific usage limits:

* The quoted prices do not include Value Added Tax (VAT) or other applicable taxes, which (where applicable) are added to the final invoicing amount, in accordance with applicable tax legislation.

The differentiation of usage plans relates to the usage limits mentioned in the previous section.
Gradually there will be differentiations between plans that will be announced both on the site and in the application.

4.1.3 Exceeding Limits

Each plan includes specific usage limits (indicatively: number of users, number of workspaces, number of projects...). In the event that you approach or exceed the limits of your plan, certain actions may be restricted or disabled, so that you remain within the limits of your plan or proceed with an upgrade.

4.2 Billing and Taxation

4.2.1 Billing Method

At the current stage, the billing and payment process for PMWaves is not automated.

Upgrading from the free plan (Free Plan) to a paid plan is done upon user request and is completed through a manual invoicing and payment process, after communication with the company.

No automatic or recurring charges are made, no payment information is stored within the application, and no charge is executed without prior confirmation from the customer.

The company reserves the right to automate the billing process in the future through third-party payment providers (e.g., Stripe), at which time these Terms of Service will be updated accordingly.

4.2.2 Currency and Prices

All prices are quoted in Euros (EUR). The quoted prices do not include Value Added Tax (VAT) or other applicable taxes, which (where applicable) are added to the final invoicing amount, in accordance with applicable tax legislation.

4.2.3 VAT and Taxation

At the current stage, VAT application follows a simplified procedure, in accordance with current Greek tax legislation.

4.2.4 VAT ID Verification

For the application of the reverse charge mechanism, the customer must provide a valid intra-Community VAT ID. Verification may be carried out through the VIES system or by alternative means during the invoicing process.

In case verification is not possible, the company reserves the right to apply VAT until successful confirmation of the details.

4.2.5 Invoicing

Invoicing is done manually, based on the information provided by the customer during the upgrade process (e.g., company name, VAT ID, address).

Invoices or receipts are sent electronically to the customer after payment completion.

The customer is responsible for the accuracy and completeness of billing information. Invoice modifications or reissues are made only in cases of obvious error.

4.2.6 Customer Responsibility for Tax Compliance

You are responsible for compliance with tax obligations in your country, including VAT self-assessment (where reverse charge applies), declaration and payment of local taxes, and maintenance of tax records.

4.2.7 Renewals, Cancellations, and Plan Downgrade

At the current stage, renewals of paid plans are not automatic. The subscription duration (monthly or annual) is agreed upon during the upgrade process and is stated on the relevant document.

4.2.8 Upgrade Process from Free to Paid Plan

Upgrading from the Free Plan to a paid plan is done upon user request and is not completed automatically.

  1. The user selects "Upgrade Plan" within the application or contacts the company.
  2. The user provides the required information for invoicing (indicatively: company name/full name, address, VAT ID where applicable).
  3. The company confirms the selected plan, duration (monthly or annual), amount, and any VAT application according to section 4.2.3.
  4. The relevant document is issued and the customer completes payment by the agreed method.
  5. After payment confirmation, the company manually activates the paid plan on the customer's account.

Activation of the paid plan may not be immediate and depends on the time of payment completion and confirmation.

4.3 Payment Methods

At the current stage, payments are made outside the application, through methods agreed upon on a case-by-case basis (e.g., bank transfer).

No automatic charges are made and no payment is executed without prior customer confirmation.

4.4 Price and Limit Changes

We may adjust our prices and/or usage limits (e.g., maximum number of seats, workspaces, projects, viewers...) at any time for future billing periods. Any changes do not affect the current prepaid period, but apply to subsequent renewals.

For price increases or substantial limit changes, we will make reasonable efforts to provide advance notice (indicatively through site announcement and/or email and/or communication with the customer, where feasible). We will not reduce usage limits below your current actual usage without giving you reasonable notice for plan upgrade or alternative solution.

Continued use of the Service after receiving notice of changes constitutes acceptance of the new terms.

5. Free Trial

We may offer free trial periods (“Trial”) for certain plans or features. During the Trial, you are granted access to the applicable features at no charge, subject to the applicable usage limits.

For the avoidance of doubt, at the present stage, upgrades and payments are handled via a manual process as described in Section 4.2.

6. Refund Policy

The company offers a money-back guarantee within thirty (30) days from the activation date of the paid subscription, with the aim of allowing customers to evaluate the Service.

The refund applies only to the first purchase or upgrade to a paid plan and is valid once per customer, organization, or account.

For a refund request to be eligible:

In case of request approval, the refund applies exclusively to the subscription amount paid for the current period, without markup, interest, or compensation.

After refund completion, the account may revert to the Free Plan and the corresponding usage limits may apply.

The company reserves the right to reject refund requests in cases of repeated upgrades and cancellations, abuse of the refund policy, or other bad faith behavior.

Where mandatorily applicable under European consumer protection law, the relevant rights apply to the extent they are not lawfully excluded for digital services.

For the purposes of this section, "customer" or "organization" means any account, organization, workspace, or natural/legal person connected by common billing information, VAT ID, email, or payment method.

7. Data Ownership and License

YOUR DATA BELONGS TO YOU!
You retain all ownership rights to the data, content, and materials you upload or create in PMWaves ("Your Data").

7.1 Your Data

"Your Data" includes, indicatively: project data such as tasks, work packages, schedules, deliverables, descriptions, comments, and any other content you enter or create through the Service.

We do not acquire any intellectual property rights to Your Data, beyond the limited license described in section 7.2.

7.2 License to Critical Path

You grant Critical Path a limited, worldwide, non-exclusive, and revocable license to:

This license ceases when you delete Your Data or terminate your account, unless temporary retention is required for legal reasons (e.g., accounting/tax obligations) or for a reasonable period until final deletion from systems and backups.

7.3 Critical Path Intellectual Property

The Service, including software, source code, algorithms, user interface designs, logos, trademarks, documentation, and all related materials, belong to Critical Path or its licensors and are protected by intellectual and industrial property laws.

7.4 Relationship with Privacy Policy

Processing of personal data under this license (e.g., user data, contact information, project data identifying natural persons) is done in accordance with our Privacy Policy and applicable data protection law. In case of inconsistency between this section and the Privacy Policy regarding personal data processing, the Privacy Policy prevails.

7.5 Data Deletion and Retention

You can delete Your Data at any time through the application:

8. Privacy and Data Security

8.1 Privacy Policy

The collection, use, and protection of your personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. Please read it carefully, as it explains in more detail the types of data we collect, processing purposes, and your rights.

8.2 GDPR and Greek Law Compliance

For users in the European Union and specifically in Greece, we comply with the General Data Protection Regulation (GDPR) and related Greek data protection laws. Your rights (such as access, rectification, deletion, restriction, portability, and objection) are described in detail in our Privacy Policy and you can exercise them according to the procedures described there.

These Terms primarily govern our contractual relationship (use of Service, liability limitations, etc.), while the Privacy Policy specifically governs personal data protection. In case of inconsistency regarding personal data processing, the Privacy Policy provisions prevail.

8.5 Service Communications

As part of providing the Service, we may send you communications that are necessary for account operation and security (e.g. welcome emails, security alerts, trial-related notifications, support communications). These communications do not constitute marketing and are governed by our Privacy Policy.

9. Data Export Rights

You have the right to export Your Data at any time, free of charge for regular exports. The platform supports export in CSV format.

12. Service Availability

12.1 Availability Target

The company aims for Service availability of at least 99.5% on a monthly basis, but does not guarantee uninterrupted operation. The Service may be temporarily unavailable due to:

Reasonable efforts will be made to provide notice in case of scheduled maintenance that may affect Service availability, where practically feasible.

13. Limitation of Liability

IMPORTANT: To the maximum extent permitted by law, Critical Path shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or other intangible losses.

The Service is provided "as is" and "as available", without any express or implied warranty of any kind, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement of third-party rights, or uninterrupted and error-free operation.

Our total liability for any claims arising from or related to the Service shall not exceed the amount you have paid us for the Service in the twelve (12) months preceding the claim.

The refund policy (where provided) is a separate contractual provision and is not deemed an admission of liability or guarantee of uninterrupted or error-free Service operation.

Exceptions: The above limitations and exclusions of liability apply to the maximum extent permitted by applicable law and do not apply to the extent prohibited by it, including but not limited to the following cases:

You agree to indemnify and hold harmless Critical Path, its officers, agents, and employees from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

Our Commitment to You: If we ever decide to discontinue PMWaves, we commit to providing you with fair treatment, adequate notice, and substantial support during your transition.

15.1 Right to Discontinue

Critical Path reserves the right to discontinue the Service in whole or substantially, for any reason, including business closure, technical inability, significant market changes, or strategic decisions.

15.2 Minimum Notice Periods

In case of permanent Service discontinuation, we will make efforts to notify you at least within the following minimum deadlines:

16. Force Majeure

Critical Path shall not be liable for inability or delay in fulfilling its obligations due to circumstances beyond its reasonable control, including but not limited to natural disasters, war, terrorism, strikes, government actions, pandemics, internet or telecommunications disruptions, cyberattacks, or third-party infrastructure provider failures.

17. Modifications to Terms

17.1 Right to Modify

We reserve the right to modify these Terms at any time. For material changes, we will provide at least 30 days' notice via email and in-app notification.

17.2 Acceptance

Your continued use after the effective date constitutes acceptance. If you do not agree, you may terminate your account and receive a pro-rata refund for prepaid subscriptions.

18. Termination

18.1 Termination by You

You may terminate your account at any time through Account Settings or by contacting us at support@pmwaves.com. We recommend you export Your Data first, as access may be restricted or discontinued after termination.

We may terminate or suspend your account immediately or within a reasonable time if:

19. Third-Party Services and Integrations

PMWaves may integrate with third-party services. Your use of third-party services is governed by their respective terms. We are not responsible for the availability, security, or changes of third-party services.

20. Confidentiality

Both parties agree to protect confidential information disclosed during the relationship. Confidential information does not include publicly available information or information developed independently.

21. Dispute Resolution

21.1 Governing Law

These Terms are governed by the laws of Greece and the European Union.

21.2 Jurisdiction

Any disputes will be resolved in the competent courts of Athens, Greece.

21.3 Informal Resolution

Before submitting any formal dispute, you agree to contact us at legal@pmwaves.com and attempt to resolve the dispute informally within 30 days.

22. General Provisions

22.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and PMWaves.

22.2 Severability

If any provision is found invalid, the remaining provisions continue to apply.

22.3 Waiver

Failure to enforce any right does not constitute a waiver of that right.

22.4 Assignment

You may not assign these Terms without our consent. We may assign our rights and obligations with notice.

This version introduces clarifications to align with operational practices:

We clarified that no payment details are required to start a trial, no automatic billing occurs, and trial-related service emails may be sent.
